Description [Abstrak] : Economic and political instability that occurred in Sri Lanka, made the country undertakemassive development in order to create a favorable economic climate to attract investors. So that Sri Lanka built the Hambantota Port with the help of Chinese loans. However the port that was built and opened did not produce good profits so that Sri Lanka suffered losses and could not pay its foeign debt to China. The purpose of this research is to explain the efforts of Sri Lanka’s foreign debt settlement against China in the Hambantota port development cooperation. This research uses a descriptive method which data are taken frombooks, journals,websites and vald news. The author uses the concept of Foreign Debt Restructuring through the mechanism of Debt to Equity Swaps by Melissa Moy and Negotiation Theory by William Zartman. The results of this research shows that the effort of Sri Lankas’s foreign debt settlement against China in the Hambantota port development cooperation realized with two efforts, namely first through restructuring foreign debt using a debt to equity swaps mechanism which was later rejected by China so that Sri Lanka negotiative for offering a second attempt through a public-prvate partnership.
